Terms and conditions
These terms apply to all work by Thrive Digital GmbH. Whatever your quote says takes precedence over them.
This is a translation. The German version of the AGB is legally binding.
1. Scope
These general terms and conditions apply to all services of Thrive Digital GmbH, Ahornweg 5, 3123 Belp, Switzerland (“we”), in particular strategy and consulting, offer design and copywriting, websites, search and AI visibility (SEO, AEO, GEO), CRM, automation, email marketing and advertising. Our services are aimed at businesses and self-employed people. Different terms of our clients only apply if we agree to them in writing.
2. Contract and scope
The intro call is free and non-binding. A contract is formed when you accept our written quote, for example by email. Scope, price, dates and any minimum term are set out in the quote. In case of conflict, the quote applies first, then these terms. Additional requests not covered by the quote are offered separately.
3. Prices
We work at fixed prices stated in the quote. Thrive Digital GmbH is not registered for VAT, so all prices are without VAT. Fees for software and platforms in your name (for example website hosting, CRM, email sending or ad budgets) are not included. You pay them directly to the provider.
4. Payment
Invoices are payable within 30 days without deduction unless the quote says otherwise. For ongoing services we invoice monthly in advance. If you pay a term in full in advance, we grant the discount stated in the quote. If payment is late, we may pause work after a written reminder with a further ten days to pay, until the outstanding amounts are settled.
5. Refunds
Services already provided are not refunded. This also applies if you later do not use the results.
If you have paid in advance and the contract ends early for a reason for which we are responsible, we refund the share for services not yet provided within 30 days. If the contract ends early for a reason for which you are responsible, the agreed fee remains due until the end of the minimum term, and the prepayment discount no longer applies to the part that ended early.
If your quote includes a performance guarantee (for example “risk reversal”), the following applies: we provide the additional services described in the quote at no extra cost until the guarantee condition is met. This does not include a repayment unless the quote expressly provides for one. The condition is that you have met your obligations to cooperate (section 6) and that the agreed measurement channels are active during the guarantee period.
The free tools on our website are free of charge. There is no contract and no payment that could be refunded.
6. Your cooperation
Good results need your input. You provide the information, access, texts and images we need on time, answer questions within a reasonable time and sign off interim results. You are responsible for owning the rights to the content you give us and for the accuracy of what you tell your own customers. If a project is delayed because cooperation is missing, our dates move accordingly.
7. Accounts, rights and handover
We set up accounts for the website, CRM and other platforms in your name, not ours. Once paid in full, the rights to use the work results created for you (copy, designs, website, automations) pass to you. Pre-existing templates, tools and our know-how remain ours; you may use them without restriction within your project. When the contract ends, we hand over all access and an introduction so that the system keeps running without us.
8. References
We only name you as a reference or show your website, figures or testimonials if you have allowed us to. You can withdraw this permission at any time for the future.
9. Warranty
We provide our services with care and according to the current state of the art. Please report defects in work results within 30 days of sign-off; we fix them free of charge within a reasonable time. We do not owe a particular economic result, particular rankings in search engines or mentions by AI assistants, because these depend on third parties, unless the quote expressly says otherwise. We are not responsible for outages or changes of third-party platforms (for example Google, Webflow, HighLevel).
10. Liability
We are liable for damage we cause intentionally or through gross negligence. Liability for slight negligence is excluded as far as the law allows. Where we are liable, liability is limited to the amount you paid us in the twelve months before the event causing the damage. We are not liable for lost profit and indirect damage as far as the law allows. Mandatory statutory liability remains unaffected.
11. Term and termination
Projects end with the handover. Ongoing services run for the minimum term stated in the quote and then renew by one month at a time unless terminated with 30 days’ notice to the end of a month. The right to terminate for good cause remains. Notice must be given in writing; an email is enough.
12. Confidentiality and data protection
We treat all information from your business as confidential, also after the contract ends. Where we process personal data on your behalf (for example your customers’ data in your CRM), we do so only on your instructions and, on request, conclude a data processing agreement. How we process data on our own website is described in the privacy policy.
13. Changes to these terms
We may amend these terms. For ongoing contracts, changes only apply once we have told you and you have not objected within 30 days.
14. Applicable law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Belp, or the court responsible for Belp in the Canton of Bern. Mandatory places of jurisdiction remain reserved.
